By using growmerz.com, booking a call or engaging Growmerz for services, you agree to these terms. If you do not agree, please do not use the website or our services.

Where you and Growmerz sign a proposal, statement of work or other written agreement for a project, that agreement applies alongside these terms and takes priority if the two conflict.

Growmerz is an AI agency. We provide AI agent development, AI workflow automation, AI agents for Odoo and other ERP systems, AI chatbots and knowledge assistants, and related consulting. The exact scope, deliverables and timeline of any engagement are set out in the proposal agreed for that project.

The free AI audit is a 30-minute call to understand your processes and discuss what could be automated. It is offered without obligation. Anything discussed on the call is general guidance, not a commitment to a result, a timeline or a fee, until it is written into an agreed proposal.

Each project has a defined scope. Work outside that scope, or changes requested after work has started, may need a revised timeline and fee, which we will agree with you before proceeding.

We test deliverables before handing them over. You are responsible for reviewing them within the period stated in the proposal and telling us about any issues, so they can be resolved before sign-off.

Fees are quoted per project. The amount, currency and payment schedule are set out in the proposal you accept, or agreed with you on a call. Unless the proposal says otherwise, work begins once the first payment has been received, and payment for work already carried out is non-refundable.

You keep ownership of the data, documents, credentials and system access you give us. We use them only to deliver the agreed work, limit access to people who need it for that work, and treat your business information as confidential. We are happy to sign a non-disclosure agreement on request.

You confirm that you have the right to share that data with us, and that our use of it for your project complies with the laws and contracts that apply to you, including privacy laws that protect your own customers and staff.

We do not publish your name, your data or details of your project as a case study without your permission.

AI systems are usually built on third-party services, such as AI model and API providers, cloud hosting, and the software you already use, for example an ERP or CRM. These services are governed by their own terms, pricing and data policies, and they can change or become unavailable without notice.

We agree with you which providers a project will use before your data is sent to them. Unless the proposal says otherwise, third-party accounts and usage costs are yours, and you are responsible for complying with those providers' terms. We are not responsible for the performance, availability, pricing or policy changes of third-party services.

AI models generate output based on probability. They can produce results that are inaccurate, incomplete or inappropriate, and the same input can produce different output at different times. We design systems to reduce these risks, but we cannot guarantee that AI output will be free of errors.

You are responsible for how AI output is used in your business. Decisions with significant consequences, including legal, financial, medical, safety and employment decisions, should be reviewed by a qualified person before they are acted on. Where we recommend a human approval step in a workflow, removing it is at your own risk.

We do not guarantee specific business results, such as a particular amount of time or cost saved.

Ownership of project deliverables, such as configurations, prompts, workflows and custom code, depends on the project. It is agreed with you before work starts and set out in the proposal for that project.

We keep ownership of our pre-existing tools, libraries, methods and general know-how, and grant you a licence to use any of them that are part of your deliverables for as long as you use those deliverables. Third-party and open-source components stay under their own licences.

You agree to provide the access, information and feedback we need in good time, to name a contact person for the project, and to use the systems we deliver lawfully. Delays in access or feedback may move the timeline.

Monitoring, maintenance and improvements after launch are provided only where they are part of an agreed engagement. Without one, we are not obliged to maintain a delivered system, including when a third-party service it depends on changes.

To the extent the law allows, Growmerz is not liable for indirect, incidental or consequential losses, including lost profit, lost data, business interruption, or losses arising from AI output, third-party services or changes made to a system by anyone other than us. Our total liability for any project is limited to the fees you paid for that project.

Either party may end a project or ongoing engagement by written notice. You will be billed for work completed up to the termination date. On termination we remove our access to your systems and, on request, return or delete your data.
